1. Acceptance of Terms
Welcome to Agentcadia (hereinafter referred to as "the Platform", "we", or "us"), an AI Agent marketplace and trading platform built around the OpenClaw ecosystem. By accessing, browsing, or using this platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to any of these terms, please discontinue use of the platform immediately. These Terms constitute a legally binding agreement between you and Agentcadia.
2. Service Description
Agentcadia may, depending on the features then made available on the platform, provide one or more of the following services: • AI Agent Marketplace — Browse, search, and adopt pre-configured AI Agent configurations across various categories. • Agent Creation & Publishing — Create, upload, and publish your own AI Agent configurations for other users to adopt. • Clawdit Credit System — Obtain, hold, and use Clawdit credits as an in-platform ledger and transaction medium under the rules posted by the platform from time to time. • Creator monetization and payout features — When such features are available and creators satisfy platform and third-party requirements, use supported pricing or payout methods. • User Profiles & Squad Management — Manage your adopted Agents, favorites, transaction history, and creator analytics. The specific scope of features, availability, eligibility conditions, and supported regions are subject to the platform pages, posted rules, and actual service availability at the relevant time. We reserve the right, to the extent permitted by applicable law, to add, modify, suspend, or discontinue parts of the service.
3. Eligibility & Account Registration
You must be at least 16 years of age to use this platform. If you are under 18, you must have the consent of a parent or legal guardian. By registering, you represent that you meet these age requirements. To access core features (adopting Agents, creating Agents, purchasing credits), you must register an account with a valid email address. You agree to: • Provide accurate, current, and complete registration information; • Maintain the security of your password and account credentials; • Accept responsibility for all activities that occur under your account; • Notify us immediately of any unauthorized use of your account. Each user may register only one account. Accounts may not be transferred, sold, or shared with others. We reserve the right to suspend or terminate accounts that violate these terms.
4. Agent Content & Creation
Users may create and publish AI Agents on Agentcadia. You retain full ownership of all content you upload, including configuration files, skill packages, descriptions, and images. By publishing content on the platform, you grant Agentcadia a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content within the platform for the purpose of operating and improving the service. You represent and warrant that: • You own or have the necessary rights to all content you upload; • Your content does not contain malicious code, viruses, or harmful components; • Your content does not infringe on any third party's intellectual property, privacy, or other rights; • Your content complies with all applicable laws and regulations. Agentcadia reserves the right to review, reject, or remove any content that violates these terms or is deemed inappropriate, without prior notice. However, Agentcadia is under no obligation to monitor or verify the legality, accuracy, or quality of user-uploaded content. Published Agents may undergo a review process before becoming publicly available.
5. Credits, Payments & Refund Policy
Agentcadia uses Clawdit credits as an in-platform ledger and transaction medium. Key terms regarding credits and payments: Obtaining Credits: Clawdit may be obtained through methods clearly posted by the platform from time to time, including but not limited to purchases and, where applicable, platform campaigns, operational rewards, creator incentives, or other announced methods. Eligibility, quantities, frequency, validity, posting time, and whether any such method remains available are governed by the page then in effect, the applicable campaign rules, or help documentation. Unless expressly stated otherwise in specific rules, any promotional or bonus credits do not create a continuing, fixed, or vested user entitlement. Purchasing Credits: If credit purchases are available, available packages, prices, exchange ratios, and payment methods are shown on the purchase page and processed through the platform's designated third-party payment providers. Non-Refundable: Credit purchases are generally final and non-refundable. By completing a purchase, you acknowledge and agree that credits cannot be refunded except where required by applicable law. Credit Usage: Credits may only be used for in-platform transactions or other uses expressly described by the platform at the relevant time. Credits may not be converted to cash, transferred between users, or redeemed outside the platform unless applicable law or the platform expressly provides otherwise. Credit Validity: Credit validity periods, scope of use, expiration rules, and whether credits may be extended or restored are governed by the purchase page, the applicable campaign rules, or other platform notices then in effect. Whether expired or invalidated credits are forfeited, restorable, or refundable will be handled under the applicable rules and law at that time. Creator Payouts: If creator payout features are available, creators who sell Agents may receive payouts through the platform's designated payment services, subject to meeting platform requirements and any applicable third-party onboarding requirements. Payout terms, fees, schedules, and supported regions are governed by platform rules and the relevant payment provider's terms. Pricing and Rule Changes: To the extent permitted by applicable law, we reserve the right to add, adjust, suspend, or discontinue credit pricing, Agent pricing, exchange ratios, reward mechanisms, and related rules. Relevant details are governed by the platform notices in effect at the relevant time.
6. Prohibited Content & Conduct
When using Agentcadia, you agree not to: • Engage in any illegal activity through the platform; • Upload or publish content that is illegal, violent, pornographic, hateful, harassing, or discriminatory; • Publish false, misleading, or fraudulent Agent descriptions or content; • Upload content that infringes on others' intellectual property, privacy, or publicity rights; • Interfere with, disrupt, or attempt to compromise the platform's security or normal operation; • Access other users' accounts or data without authorization; • Use automated tools, bots, or scrapers to access platform content at scale; • Attempt to circumvent the credit system, payment mechanisms, or any security features; • Create multiple accounts to abuse promotions, reward mechanisms, or other platform features; • Resell, redistribute, or commercially exploit adopted Agent configurations without the creator's explicit consent. Violations may result in content removal, account suspension, permanent ban, and/or legal action.
7. Intellectual Property
Platform IP: The design, source code, trademarks, logos, brand elements, and all proprietary technology of the Agentcadia platform are owned by Agentcadia and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any platform materials without our express written consent. User Content: Agent content created and uploaded by users belongs to the respective creators. Creators retain all rights to their original work. Adopter License: Users who adopt an Agent receive a limited, personal, non-transferable, non-exclusive license to use that Agent's configuration for their own purposes. This license does not include the right to redistribute, sublicense, or commercially resell the Agent configuration without the creator's explicit written consent. The "Agentcadia" name, logo, and "Clawdit" are trademarks of Agentcadia. Unauthorized use of these marks is prohibited.
8. Privacy & Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the data practices described in our Privacy Policy. Key points: • We collect account information, usage data, and device information necessary to provide our services; • We use third-party services for payment processing — your payment information is handled directly by our third-party payment processor and is not stored on our servers; • We do not sell your personal information to third parties; • We use cookies and local storage for essential platform functionality only. 9. Service Availability
We strive to maintain the platform's availability but do not guarantee uninterrupted, error-free, or secure access at all times. The platform may be temporarily unavailable due to: • Scheduled or emergency maintenance; • System upgrades or updates; • Network or server issues beyond our control; • Force majeure events. We will make reasonable efforts to notify users of planned downtime in advance. We are not liable for any loss or inconvenience caused by service interruptions.
10. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT, SERVICES, AND AGENT CONFIGURATIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that: • The platform will meet your specific requirements; • Agent configurations will be accurate, reliable, complete, or suitable for any particular purpose; • The platform will be uninterrupted, timely, secure, or error-free; • Any defects in the platform will be corrected. Any content downloaded or obtained through the platform is accessed at your own risk, and you are solely responsible for any damage to your device or loss of data.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTCADIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: • Loss of profits, data, or business opportunities; • Business interruption; • Cost of substitute services; • Legal disputes arising from Agent content; • Any damages resulting from unauthorized access to your account. In no event shall Agentcadia's total liability exceed the lesser of (a) one hundred US dollars (USD $100) or (b) the total amount you have paid to the platform in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Agentcadia and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to: • Your use of the platform; • Your violation of these Terms of Service; • Your violation of any third party's rights, including intellectual property rights; • Any content you upload, publish, or distribute through the platform; • Any Agent configurations you create or modify.
13. Account Termination
You may delete your account at any time through your account settings or by contacting us. Upon deletion, your profile, created Agents, and associated data will be removed, subject to our data retention obligations. We may suspend or terminate your account at our sole discretion if: • You violate these Terms of Service; • You engage in fraudulent or abusive behavior; • Your account poses a security risk to the platform or other users; • Required by law or legal process. Upon termination: your access to the platform will be revoked; Agent configurations already adopted by other users will remain accessible to those users. Regarding your remaining Clawdit credit balance: if your account is terminated due to your violation of these Terms or fraudulent/abusive behavior, your credits will be forfeited and cannot be refunded; if your account is terminated for other reasons, we will handle the remaining credits on a case-by-case basis at our reasonable discretion.
14. Dispute Resolution & Governing Law
In the event of any dispute arising from or relating to these Terms or your use of the platform, you agree to first attempt to resolve the dispute through good-faith negotiation by contacting us directly. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction in the location where Agentcadia operates. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Agentcadia operates, without regard to conflict of law principles. You agree that any legal action or proceeding shall be brought exclusively in the courts of that jurisdiction, and you consent to the personal jurisdiction of such courts.
15. General Provisions
Changes to Terms: Agentcadia reserves the right to modify these Terms of Service at any time. Significant changes will be communicated via platform announcements or email notification. Continued use of the platform after modifications constitutes acceptance of the new terms. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agentcadia regarding your use of the platform, superseding any prior agreements. Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Agentcadia may assign its rights and obligations without restriction. Language: In the event of any conflict between the English and Chinese versions of these Terms, the version in the language you selected at the time of registration shall prevail.
